1. Acceptance of Terms

By downloading, registering, or using the Clapp application ("the App"), you agree to these Terms and Conditions in their entirety. If you do not agree with any of these terms, do not use the App.

Clapp is operated by Clapp Labs Inc., a corporation incorporated in Delaware, United States ("we", "us", "the Company").

2. Eligibility

You must be at least 18 years of age to use Clapp. By registering, you confirm that you meet this requirement. We reserve the right to suspend or delete accounts of users who do not comply with this condition.

3. Description of Service

Clapp is a live music discovery platform and social network that allows users to:

• Discover live events and shows near their location
• Record their attendance at events through automatic GPS detection
• Create user and artist profiles
• Post content to the social feed
• Interact with other users and artists
• Access information about artists and venues

4. Registration and Account

By creating a Clapp account you agree to:

• Provide truthful, complete and up-to-date information
• Maintain the confidentiality of your password
• Be solely responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use

5. Location Use and Automatic Attendance Detection

Clapp uses your device location, including when the App is not actively in use, to determine attendance at events ("automatic check-in"). By granting location permissions, you agree that:

• The App may access your location in the background
• Your presence at an event may be automatically recorded
• This information may be used to generate attendance statistics and improve personalized recommendations
• You may revoke location permissions at any time from your device settings, which may limit certain App functionalities

6. User Content

By posting content on Clapp (photos, videos, text, comments or other material), you represent that:

• You own the rights to that content or have authorization to post it
• The content does not violate any third-party rights
• The content complies with these usage rules

7. Prohibited Conduct

By posting content, you grant Clapp a non-exclusive, royalty-free, worldwide and sublicensable license to use, reproduce, modify, distribute and display such content within the platform.

The following is strictly prohibited:

• Posting illegal, violent, obscene, discriminatory content or content that promotes the use of illegal substances
• Impersonating another person or entity
• Using the App for fraudulent or deceptive activities
• Collecting data from other users without consent
• Interfering with the normal operation of the App
• Creating fake accounts or multiple accounts for the same purpose
• Posting spam or unauthorized promotional content

8. Artist and Venue Profiles

Violation of these rules may result in immediate account suspension.

Clapp may create profiles for artists and venues based on publicly available information. Artists and venues may claim and verify their profiles by contacting our team. By claiming a profile, the holder agrees that the published information is accurate and assumes responsibility for the content they manage.

9. Referral Program

Clapp offers a referral link system through which users can invite others to the platform. Users who refer others through their links may have access to benefits determined by Clapp from time to time. We reserve the right to modify, suspend or cancel the referral program at any time.

10. Third-Party Services

The App may integrate or display content from third-party platforms such as Spotify, SoundCloud, Instagram or others. Use of such services is subject to each platform's own terms and conditions. Clapp is not responsible for the availability, accuracy or content of third-party services.

11. Intellectual Property

All content, design, code, brand and materials of Clapp are the exclusive property of Clapp Labs Inc. and are protected by applicable intellectual property laws. Reproduction, distribution or use without express authorization is prohibited.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Clapp Labs Inc. shall not be liable for:

• Direct, indirect, incidental or consequential damages arising from the use or inability to use the App
• Loss of data or service interruption
• Content posted by third-party users
• Events, shows or activities promoted through the platform

13. Indemnification

The App is provided "as is" and "as available", without warranties of any kind.

You agree to indemnify and hold harmless Clapp Labs Inc., its directors, employees and agents against any claim, damage, loss or expense (including legal fees) arising from your use of the App or your violation of these Terms.

14. Modifications

We reserve the right to modify these Terms at any time. We will notify you of significant changes through the App or by email. Continued use of the App after notification implies acceptance of the new terms.

15. Termination

We may suspend or delete your account at any time, with or without cause, without liability to you. You may also delete your account from the App settings. Account deletion does not affect previously incurred obligations.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, United States. Any dispute arising from these Terms shall be resolved before the competent courts of the State of Delaware, with both parties waiving any other jurisdiction that may apply.
